Ladies and Gentlemen:
We have acted as counsel to Second Sight Medical Products, Inc., a California corporation (the “Company”), in connection with the Registration Statement on Form S-3 (the “Registration Statement”) to be filed with the Securities and Exchange Commission under the Securities Act of 1933, as amended, relating to the registration by the Company of (i) common stock, no par value per share (the “Common Stock”); (ii) preferred stock, no par value per share (the “Preferred Stock”); (iii) debt securities (the “Debt Securities”); (iv) units comprised of one or more of Debt Securities, Common Stock, Preferred Stock and Warrants (the “Units”); and (v) warrants to purchase Debt Securities, Common Stock, Preferred Stock and/or Units (the “Warrants”), or any combination of the foregoing (collectively, the “Securities”). The Securities may be sold or delivered from time to time as set forth in the Registration Statement, any amendment thereto, the prospectus contained therein (the “Prospectus”) and supplements to the Prospectus and pursuant to Rule 415 under the Securities Act.
The Debt Securities may be issued pursuant to an indenture (together with any supplemental indentures relating to the Debt Securities, the “Indenture”) to be entered into between the Company and a trustee to be named in the Indenture and duly qualified under the Trust Indenture Act of 1939, as amended (the “Trust Indenture Act”). The Units may be issued pursuant to a Unit Agreement (the “Unit Agreement”) between the Company and a bank or trust company as unit agent. The Warrants may be issued pursuant to a warrant agreement (the “Warrant Agreement”) between the Company and a bank or trust company as warrant agent.
